Valifiy Terms of Service

1. Parties, scope and legal effect

These Terms of Service ("Terms") govern access to and use of the Valifiy website, application, platform, AI-assisted workflows, IdeaBoards, one-time purchases, bundles, organization-provided access, export tools, account tools, support channels and related digital services (together, the "Service").

The Service is provided by Valifiy LLC, a limited liability company organized under the laws of the State of Wyoming, USA ("Valifiy", "we", "us" or "our").

These Terms apply globally to individual users, account holders, visitors, purchasers, users invited through or assigned access by an Organization, and users who otherwise access the Service. A separate Valifiy B2B Service Agreement and Valifiy B2B Order Form may apply to Organizations purchasing or receiving group, cohort, hackathon or program access. By creating a Valifiy Account, you agree to be bound by these Terms of Service. If you later decide that you no longer agree to these Terms of Service, you must stop using the Service and may delete your Valifiy Account as described in Section 20.

If you act on behalf of an Organization in entering into contractual obligations with Valifiy, you represent that you are authorized to bind that Organization. If you do not have that authority, you may use the Service in your personal capacity, including as a Participant, but may not accept contractual obligations on behalf of the Organization.

3. Description of the Service

Valifiy is a guided idea development platform that uses AI throughout its structured workflow to help users shape raw ideas into well-rounded business concepts. The Service guides users in developing an IdeaBoard covering the problem, target audience, value proposition, business model, budget assumptions and go-to-market plan.

The Service is a digital tool. It is not a professional advisory service, law firm, accounting firm, investment adviser, broker, grant consultant, incubator, accelerator, financial adviser, tax adviser or regulated professional service.

Valifiy may change, improve, modify, add, remove, replace, suspend or discontinue features from time to time, provided that Valifiy will not intentionally remove a core paid feature during an active paid access period or before a purchased unused IdeaBoard is consumed without a reasonable operational, legal, security, technical or product reason.

4. Eligibility and minors

You must be at least 18 years old to use the Service independently. Users under 18 may create an Account and use the Service through access provided by a school, university, educational or startup program, hackathon or other Organization under an arrangement approved by Valifiy.

If you are under 18, you must not use the Service independently. The Organization providing your access is responsible for ensuring that your participation is legally permitted and for obtaining any parental or guardian consent or other authorization required under the laws applicable to you.

If you do not meet these requirements, you must not create an Account or use the Service. Valifiy may refuse, suspend or terminate access if Valifiy reasonably believes that a user is not permitted to use the Service.

5. Account registration, authentication and security

You must provide accurate, current and complete information when creating or maintaining an Account.

You are responsible for keeping login credentials confidential and for all activity under your Account.

Each Account is personal to the registered user. You must not share your login credentials or allow another person to access the Service through your Account. An Organisation may authorise multiple users or administrators, but each person must use their own Account.

You must promptly notify Valifiy if you suspect unauthorized access, credential compromise, security incidents or misuse of your Account.

Valifiy may require re-authentication, password reset, multi-factor authentication or other security steps where reasonably necessary.

Valifiy is not liable for losses caused by your failure to maintain Account security, except to the extent liability cannot be excluded by law.

6. Access models: individual, group and organization use

Valifiy offers one-time IdeaBoard purchases, IdeaBoard bundles and group or Organization access for companies, universities, accelerators, incubators and other legal entities. Group access is provided through an Organization purchasing or receiving IdeaBoards, participant invitations or program credits, including allocation arrangements for a defined number of teams during a hackathon or similar program.

Commercial terms for Organizations are governed by a separate Valifiy B2B Service Agreement, Valifiy B2B Order Form, written offer, voucher arrangement or other program-specific document. These Terms govern the user-facing use of the Service and do not replace an executed Valifiy B2B Service Agreement or other program-specific commercial arrangement.

7. Organization visibility and program use

If you receive an IdeaBoard or other access through an Organization, the Organization will be able to see the e-mail address associated with your Valifiy Account, whether and when the assigned IdeaBoard was activated, a short description of your business idea, and your progress in the IdeaBoard. These fields are part of the standard Organization visibility for Organization-provided access.

For Organization-provided access, an assigned IdeaBoard is considered activated when the Participant presses Submit for the Initial Idea. Before activation, an Organization may withdraw the unused allocation and reassign it to another person, and Valifiy will notify the affected Participant by e-mail. Once activated, the IdeaBoard is associated with that Participant's Account and cannot be reassigned by the Organization to another person.

The Organization is responsible for ensuring that its use of Participant information complies with applicable law and its contractual obligations, including any applicable data processing agreement. Where it determines the purposes of processing personal data, it must identify an applicable lawful basis and provide Participants with the required information about those purposes. As a general rule, the Organization does not have access to a Participant's complete IdeaBoard. A Participant may choose to grant the Organization access to their IdeaBoard. An exception may apply where a company purchases Valifiy as an internal tool for use by its employees. In that case, the company may have full access to IdeaBoards provided under the internal-company arrangement and all related data made available through the Service, provided that this access is clearly disclosed to the employees and reflected in the applicable Valifiy B2B Service Agreement or Valifiy Partner Access Notice.

Organization visibility applies to IdeaBoards provided under the relevant arrangement and does not give the Organization access to your other personal IdeaBoards or login credentials. An IdeaBoard created by a Participant using access provided by an Organization remains associated with the Participant's individual Valifiy Account, and the Organization cannot revoke the Participant's access to that activated IdeaBoard merely because its program or relationship with the Participant ends. If the Participant registered using an e-mail address or authentication account controlled by the Organization, the Participant may lose access to the Valifiy Account if the Organization later disables that e-mail address or account. That loss of access results from the Organization's control of its own e-mail or authentication system, not from Valifiy restricting the Participant's IdeaBoard.

For Organization-provided access, rights in User Content, IdeaBoards or Outputs may be affected by the Valifiy B2B Order Form, program rules or agreement between the Organization and its participants. You should review those documents before entering commercially sensitive information.

8. Purchases, access packages and usage limits

Valifiy offers one-time IdeaBoard purchases, IdeaBoard bundles and Organization allocation packages. Package names, included features, usage limits, any allocation period or reset schedule, price and taxes are shown at checkout, in the account, on the pricing page, in the Valifiy B2B Order Form or in another written agreement.

One-time purchases do not renew automatically. Recurring access renews automatically for the billing period and at the price stated at checkout or in the applicable Valifiy B2B Order Form or written agreement, unless cancelled in accordance with the applicable cancellation terms.

Usage limits may include number of IdeaBoards, number of participants or teams, export rights, admin seats, organization dashboards, storage limits, support level or other technical or commercial limits. Exceeding a limit may require an upgrade, purchase of additional capacity, a new bundle or a new Organization package or temporary restriction of functionality.

9. Vouchers and Organization allocation packages

A personal IdeaBoard is activated when the user pays for it or applies a valid redemption token. Valifiy offers vouchers and Organization allocation packages, including hackathon and other program arrangements. An Organization package may specify an IdeaBoard allowance, a period during which new IdeaBoards may be created or assigned, or both. Where an allowance renews or resets for successive periods, the applicable Valifiy B2B Order Form, written offer or program terms state the allowance, allocation period, reset schedule, any carryover of unused capacity and the treatment of assigned but unactivated IdeaBoards. A voucher may have a stated redemption deadline. Expiry of an allocation period or voucher redemption deadline, or a reset of the Organization allowance, does not by itself expire, deactivate or reassign an IdeaBoard already activated in a Participant's individual Account. Organization assignment and activation are governed by Section 7 of this document.

10. Payments, taxes and payment processors

The applicable price and currency will be shown at checkout, on the pricing page, in the Valifiy B2B Order Form or in another written agreement, as applicable.

The price shown to an individual user before purchase is the total amount payable, including any applicable taxes.

Before completing a purchase, the checkout flow will show the applicable package, number of IdeaBoards or access period, total payable amount and any charges required to be displayed at that stage.

Payments are processed by the payment services provider identified in the Valifiy Vendor and Subprocessor List. Valifiy does not store full payment-card numbers.

You must provide accurate billing information and keep payment information current.

Failed payment may result in paid access not being enabled, or in suspension, downgrade, cancellation or non-renewal of paid access.

11. Cancellation, unused IdeaBoards and refunds

An IdeaBoard is considered consumed when its generation starts. Except where required by applicable law or expressly stated in the Valifiy Refund, Cancellation and Withdrawal Policy, payment for that IdeaBoard is non-refundable after that point. Cancellation and refund rules for unused IdeaBoards, bundles and other access packages are governed by that Policy. For Organization packages, cancellation, replacement and refund rules are governed by the applicable Valifiy B2B Service Agreement, Valifiy B2B Order Form, written offer or program arrangement, subject to applicable law. In particular, Valifiy does not provide refunds because a user dislikes an Output, stops using the Service after IdeaBoard generation has started, changes business plans, fails to obtain customers or investment, or expects professional advice.

Valifiy may restore an IdeaBoard credit, provide a service credit or, where appropriate, issue a refund if a material technical failure within Valifiy’s reasonable control prevents a purchased IdeaBoard from being generated or materially used, subject to the Valifiy Refund, Cancellation and Withdrawal Policy.

Users in the EU/EEA, UK or other jurisdictions may have mandatory withdrawal or cancellation rights. The treatment of those rights is explained in Section 7 of the Valifiy Refund, Cancellation and Withdrawal Policy. Starting to use the Service does not by itself remove those rights.

12. AI generation and model limitations

The Service uses AI to generate suggestions, drafts, summaries, structures, analyses and other Outputs based on User Content and system prompts. AI Outputs may be incomplete, inaccurate, outdated, biased, non-exclusive, similar to outputs generated for others, unsuitable for a particular market, or legally, financially or commercially inappropriate.

You remain responsible for reviewing, verifying and deciding whether and how to use any Output.

13. No professional advice

Valifiy does not provide legal, tax, accounting, investment, financial, regulatory, medical, professional, fundraising, grant, corporate, employment, intellectual-property or other regulated advice. The Service is a guided idea development platform and should not be treated as advice from a qualified professional.

You are responsible for obtaining professional advice before making decisions, launching a business, entering contracts, raising investment, making tax filings, applying for grants, hiring, marketing, collecting personal data or taking other actions based on the Service.

14. User Content and business ideas

As between you and Valifiy, you retain ownership of your User Content and your business idea, subject to any Organization/program terms that apply to Organization-provided access. Valifiy does not claim ownership of your business idea merely because you use the Service.

You represent that you have the right to submit User Content to the Service and that User Content does not infringe, misappropriate or violate third-party rights, confidentiality duties, trade secret restrictions, employment obligations, non-disclosure obligations or applicable law.

You should not submit highly confidential, regulated, sensitive, third-party or proprietary information unless you have authority to do so and understand that it may be processed by Valifiy and third-party providers as described in the Valifiy Privacy Policy.

15. License to Valifiy

You grant Valifiy a limited, worldwide, non-exclusive, royalty-free license to host, store, transmit, display, reproduce, format, process and use User Content solely as reasonably necessary to provide the Service, generate Outputs, operate IdeaBoards, provide support, maintain and secure the platform, comply with law, enforce these Terms, prevent abuse and perform analytics and product improvement as described in the Valifiy Privacy Policy.

This license ends when User Content is deleted from active systems, except for backup cycles, legal retention, audit/security logs and dispute records.

16. Valifiy intellectual property

Valifiy and its licensors own the Service, software, code, workflows, prompts, templates, methodology, user interface, design, branding, documentation, architecture, databases, models, know-how and related intellectual property. No rights are transferred except the limited access rights expressly granted in these Terms.

You must not copy, modify, reverse engineer, decompile, disassemble or attempt to extract source code from the Service.

You must not build a competing product using the Service, prompts, workflows, UI or confidential technical information.

You must not resell, sublicense, rent, lease or commercially exploit access except as permitted in an applicable Valifiy B2B Service Agreement.

You must not remove notices, bypass restrictions, scrape the Service or interfere with security.

17. Feedback

If you provide suggestions, comments, feature requests or other feedback, Valifiy may use them without compensation or restriction. This does not give Valifiy ownership of your underlying User Content or business idea.

18. Acceptable use

You must use the Service lawfully, professionally and in accordance with these Terms, all applicable laws and all product documentation.

No illegal, harmful, fraudulent, deceptive, infringing, abusive, harassing, defamatory or malicious use.

No use to create scams, phishing, spam, misleading business opportunities or false earning claims.

No prompt injection, model abuse, automated scraping, excessive load, security testing without permission or circumvention of rate limits.

No submission of content that you do not have the right to use.

No use for regulated professional advice without review by qualified experts.

No use that could materially harm Valifiy, another user, an Organization, AI Providers or third party.

19. Support, availability and maintenance

Valifiy currently provides support through e-mail at support@valifiy.com, hosted on Valifiy's server. Support scope, response targets and service parameters may differ for individual users, temporary programs and Organization packages.

Valifiy may conduct maintenance, updates, security work, migrations or emergency interventions. The Service may also be affected by cloud providers, the AI Providers, payment processors, network conditions, force majeure, user devices or other systems outside Valifiy’s control.

Unless an executed agreement with Valifiy expressly states otherwise, response and resolution times are targets only and do not create automatic penalties, credits, refunds or termination rights.

20. Export, deletion and portability

The Service allows export of IdeaBoards in PDF format. Export functionality may depend on access package, account status, Organization settings and technical availability.

If you delete an IdeaBoard, it is deleted from active systems, subject to applicable backup and legal-retention rules. If you delete your Account, associated IdeaBoards and user data are permanently deleted from active systems after a 30-day grace period following account deletion, subject to applicable legal, billing, security and backup retention. Technical logs are retained for 90 days or, where retained by a service provider, for the period applied by that provider as stated in the Valifiy Vendor and Subprocessor List. Data retained under an applicable exception is permanently deleted when the relevant retention period ends.

21. Privacy

Valifiy processes personal data as described in the Valifiy Privacy Policy. For Organization-provided access, Valifiy may act as processor/service provider for certain Organization-controlled participant data and as controller/business for its own account, billing, security, analytics and compliance purposes.

22. Third-party services

The Service relies on third-party providers for cloud infrastructure, authentication, payment services, AI APIs, hosting, source-code repositories, e-mail delivery and security/monitoring services. Current providers and their roles are identified in the Valifiy Vendor and Subprocessor List.

Third-party services may have their own terms, policies, limitations, availability issues and security incidents. Valifiy is responsible for its own obligations under these Terms but does not control all third-party systems.

23. Suspension and termination

Valifiy may suspend or terminate access if payment fails, the user breaches these Terms, the user creates legal/security/operational risk, continued access may harm Valifiy or others, or suspension is required by law or vendor restrictions.

Suspension may be full or partial and may include read-only access, disabled AI requests, disabled exports, disabled Organization dashboard access or account lockout depending on the risk.

24. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available". Valifiy disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability and suitability.

Valifiy does not warrant that the Service will be uninterrupted or error-free, that Outputs will be accurate or original, that an IdeaBoard will satisfy investors or grant programs, or that any business idea will be lawful, profitable, fundable, viable or commercially successful.

25. Limitation of liability

To the maximum extent permitted by law, Valifiy is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, including lost profits, lost revenue, loss of business opportunity, goodwill, reputation, data, anticipated savings or third-party claims.

For B2C users, Valifiy’s total liability for all claims arising out of or relating to the Service or these Terms is limited to the amount paid by the user to Valifiy in the 12 months before the event giving rise to the claim, unless a higher non-waivable amount is required by applicable law.

Nothing limits liability that cannot be limited by law, including fraud, willful misconduct, gross negligence or mandatory consumer/data-protection rights where those rights cannot be waived.

26. Indemnity

To the maximum extent permitted by law, you will defend, indemnify and hold harmless Valifiy and its affiliates, officers, employees, contractors, vendors and partners from claims, losses, damages, penalties, costs and reasonable legal fees arising from your breach, misuse, unlawful content, infringement, violation of confidentiality obligations, unauthorized submission of third- party information, deceptive use of Outputs or business activities based on your IdeaBoard.

27. Changes to Terms

Valifiy may update these Terms. Material changes may be notified by e-mail, in-app notice, website notice or renewed acceptance. Continued use after the effective date means acceptance of the updated Terms, except where applicable law requires another mechanism.

28. Electronic contracting and records

You consent to electronic communications, electronic records and electronic acceptance. Valifiy may log the version of Terms accepted, user ID, e-mail, timestamp, IP address, device/browser information and related acceptance evidence

29. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict- of-laws rules. This choice does not limit any mandatory consumer, data protection or other non- waivable rights under the laws of your country, state or place of residence.

Before filing a claim, you agree to contact Valifiy so the parties can attempt informal resolution. Subject to mandatory consumer rights, courts located in Wyoming, USA will have jurisdiction over disputes arising out of or relating to these Terms or the Service.
